Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Macdermott Consulting Pty Limited as trustee for the Macdermott Business Trust (ACN 150 067 968), trading as Utspoken ("Utspoken", "we", "us", "our"). By creating an account or using Utspoken, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you don't agree, please don't use the service.


Eligibility

You must be at least 16 years old to use Utspoken. By using the service, you confirm that you meet this requirement.


Your account

You sign in via a passwordless magic-link sent to your email address. You're responsible for keeping access to that email address secure, and for all activity that happens under your account. Tell us immediately at privacy@utspoken.app if you suspect unauthorised access.


The service — what Utspoken is and isn't

Utspoken is a voice-first journaling app: you speak, we transcribe, you review. It's designed to make capturing your thoughts as low-friction as possible.

Utspoken is not a medical, therapeutic, or crisis service.

Utspoken is a journaling tool, not a substitute for professional mental health advice, diagnosis, or treatment. Your entries are not monitored or reviewed by anyone in real time, and Utspoken cannot detect or respond to a crisis.

If you are in crisis or need immediate support, please contact emergency services (000 in Australia) or a crisis line — for example, Lifeline Australia on 13 11 14, or the relevant equivalent service where you live.


Subscription & billing

New accounts get a 30-day free trial with unlimited use. After the trial, continued use requires a paid subscription, billed via Stripe:

Subscriptions are billed in advance and renew automatically until you cancel. You can cancel any time from the Stripe Customer Portal (Settings → Manage subscription); cancellation takes effect at the end of your current billing period, and you keep access until then. Fees are non-refundable except where required by law — nothing in these Terms limits any guarantee you're entitled to under the Australian Consumer Law that cannot be excluded.

We may change our pricing for future billing periods; we'll give you notice before any change takes effect for your subscription.


Your content

You own your journal entries. We don't claim any ownership over what you record or write. By using Utspoken, you grant us a limited licence to store, encrypt, process, and transmit your content solely as needed to provide the service to you — for example, to transcribe a recording, display an entry back to you, or (only if you enable it) send an entry to an AI assistant you've connected.

You're responsible for what you record. Don't use Utspoken to capture or store content that is unlawful, or that infringes someone else's rights.


AI access (MCP)

Paid accounts can optionally generate a connection token that lets a third-party AI assistant (such as Claude desktop) read and create journal entries on your behalf. This feature is opt-in and entirely under your control — see Privacy Policy, Section 6 for how your data is handled when you use it.

You're responsible for keeping your connection token confidential, and for the actions taken by any AI assistant you connect. We are not responsible for how a third-party AI provider handles data once it has been sent to them at your request.

Availability & warranty

Utspoken is an early-stage product run by a small team. We aim for the service to be reliably available but don't guarantee uninterrupted or error-free operation, and we may need to take the service down for maintenance from time to time. The service is provided "as is" and "as available", to the extent permitted by law. Where the Australian Consumer Law (or another law that cannot be excluded) implies a guarantee that we can't limit, that guarantee applies in addition to these Terms.


Limitation of liability

To the maximum extent permitted by law, Utspoken's total liability to you for any claim arising from your use of the service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential loss, including loss of data, arising from your use of the service. Nothing in these Terms excludes liability that cannot lawfully be excluded.


Termination

You can delete your account at any time (see Privacy Policy, Section 7). We may suspend or terminate your access if you breach these Terms, don't pay a subscription fee when due, or if we reasonably believe your use puts the service or other users at risk. Where practical, we'll give you notice first.


Governing law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising from them.


Changes to these terms

We may update these Terms as the service evolves. For material changes, we'll notify you by email or an in-app notice before they take effect. Continuing to use Utspoken after a change takes effect means you accept the updated Terms.
